Nooks And Socials

1. Purpose
   1. The purpose of this Agreement is to outline the terms and conditions under which the Member participates in Nooks and Socials, Inc. activities, events, and programs designed to promote professional relationships, referrals, and business growth.

1. Membership Term
   1. Membership begins immediately upon payment processing of the Membership Fee and continues on a Month-to-Month basis, for monthly Members, and for a term of one (1) year, for yearly members, unless renewed or terminated earlier in accordance with this Agreement.

• Membership Fees
  1. The Member agrees to pay a membership fee:
     1. On a Monthly Basis at Two Hundred and Sixty-Eight and xx/100 Dollars ($268.00) per month payable on the Members monthly renewal date, to be paid by automatic Credit Card payment, or Two Hundred and Sixty and xx/100 Dollars ($260.00) per month payable on the Members monthly renewal date to be paid by automatic ACH Withdrawal; or,
     2. On a Yearly Basis at Two Thousand Nine Hundred and Forty-Eight and xx/100 Dollars ($2948.00) per year, payable on the Members yearly renewal date to be paid by automatic Credit Card Payment, or Two Thousand, Eight Hundred and Sixty and xx/100 Dollars ($2,860), per year, payable on the Members yearly renewal date, to be paid by automatic ACH Withdrawal.

• All Membership Fees are non-refundable except as follows:

Members paying for a yearly membership shall have the right to cancel their membership on thirty (30) days notice, however any refund due to them for the balance of their membership term will be calculated as if they had been paying based on the monthly membership fee.

1. Member Responsibilities:  The Member agrees to:
   1. Attend meetings and events regularly.
      1. While not mandatory, attendance at Nooks is highly suggested.
   2. Actively participate in networking and support fellow members.
   3. Conduct themselves in a professional, respectful, and ethical manner.
   4. Not engage in solicitation or conduct that disrupts the group’s purpose.
   5. Maintain confidentiality of information shared within the group.
2. Code of Conduct: Members shall:
   1. Promote goodwill and collaboration among members.
   2. Avoid negative speech or competition that harms another member’s business or reputation.
   3. Adhere to all group policies and leadership directions.
   4. Violation of the Code of Conduct may result in suspension or termination of membership at the discretion of the Group’s leadership.
3. Benefits of Membership: Membership entitles the Member to:
   1. Attend regular meetings and events.
   2. Access group communications and referral opportunities.
   3. Be listed in the Group’s member directory.
   4. Participate in leadership or committee opportunities.

• Termination of Membership: Membership may be terminated:
  1. By the Member, with email notice (prior to the Members monthly renewal date.)
  2. By Nooks and Socials, Inc. in it’s sole discretion and/or for cause, including but not limited to non-payment of fees, violation of conduct, or any behavior contrary to our Terms of Service, Privacy Policy, etc.
     1. Termination for cause will NOT result in a refund of any Membership fees
     2. Termination in the sole discretion of Nooks and Socials will result in the following refund of Membership fees:
        1. Members paying for a yearly membership shall receive a refund for the balance of their membership term calculated as if they had been paying based on the monthly membership fee.

• Miscellaneous
  1. To the fullest extent allowed by law, the Member releases and holds harmless the Company, its owners, directors, employees, and contractors from liability for any injury, loss, or damage that occurs in connection with the membership, except in cases of the Company’s gross negligence or willful misconduct.
  2. This Agreement constitutes the entire understanding between the parties.
  3. This Agreement may be amended only in writing with mutual consent.
  4. This Agreement is governed by the laws of the State of New York
  5. This Agreement is to be signed electronically, which shall be effective as an original.
